Corporate Transparency Act (CTA) Update:  Beneficial Ownership Information (BOI) Reports Due by March 21, 2025

By Kimberly Whitley

The U.S. District Court for the Eastern District of Texas has lifted the nationwide injunction that temporarily suspended beneficial ownership information (BOI) reporting requirements for companies.  In response to the Court’s ruling, FinCEN has issued a new deadline of March 21, 2025 for reporting companies to file BOI reports under the Corporate Transparency Act (CTA).

In its notice announcing the reinstatement of the filing requirements, FinCEN noted that the new filing deadline is subject to change, as reporting companies may need additional time to comply with the updated deadline.  However, in the absence of further modifications, companies should be prepared to file their BOI reports by the March 21st deadline,.
